These Terms of Service ("Terms") govern your use of the services provided by AdSent Ltd ("AdSent", "we", "us", "our"), a company registered in England and Wales. By engaging our services or using this website, you agree to these Terms.

1. Services

AdSent provides marketing and client acquisition services, which may include campaign strategy, audience research, advertising copy and creative direction, video scripts and editing, paid advertising management on Meta platforms, landing page development, qualification systems, calendar integration, follow-up automation, and campaign tracking and optimization.

The specific services, deliverables, timelines, and fees for each engagement are set out in your individual service agreement or proposal, which forms part of these Terms.

2. Client responsibilities

  • Provide accurate and complete information about your business, offer, and pricing
  • Review and approve campaigns, pages, and creative in a timely manner
  • Record content when required for your campaigns
  • Take calls with prospects booked through the system
  • Maintain your own advertising accounts and comply with the policies of advertising platforms, including Meta

3. Fees and payment

Service fees are set out in your service agreement and are payable in advance unless otherwise agreed in writing. Advertising spend is separate from our service fees and is paid by you directly to the advertising platform (e.g. Meta). We do not hold or manage your advertising budget as agency funds.

Late or failed payments may result in paused campaigns and suspended services until payment is received.

4. No performance guarantee

Marketing results depend on factors outside our control, including your offer, pricing, market demand, platform performance, and how sales conversations are handled. Unless expressly stated in writing in your service agreement, we do not guarantee any specific number of leads, booked calls, clients, or revenue.

5. Intellectual property

Upon full payment, you own the final deliverables created specifically for your business, including ad creative, copy, and landing pages. We retain ownership of our internal processes, frameworks, templates, and tools, and may use anonymised, non-confidential learnings from campaigns to improve our services.

With your permission, we may reference your business and campaign results in our marketing and case studies.

6. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement and to use it only for the purpose of delivering or receiving the services.

7. Term and termination

The duration of the engagement and notice periods for termination are set out in your service agreement. Either party may terminate immediately if the other party materially breaches these Terms and fails to remedy the breach within a reasonable period after written notice.

8. Limitation of liability

To the maximum extent permitted by law, AdSent's total liability arising out of or in connection with the services shall not exceed the total service fees paid by you in the three months preceding the claim. We are not liable for indirect or consequential losses, loss of profit, or losses arising from advertising platform decisions, including account restrictions or ad disapprovals.

Nothing in these Terms limits liability for fraud or for death or personal injury caused by negligence.

9. Third-party platforms

Our services involve third-party platforms such as Meta, Calendly, and others. Your use of those platforms is governed by their own terms and policies, and we are not responsible for their availability, decisions, or changes.

10. Changes to these Terms

We may update these Terms from time to time. The latest version will always be available on this page, and material changes affecting an active engagement will be communicated to you.

11. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any disputes.
